These Terms and Conditions ("Terms") govern your use of the Zevron Tech Ltd website at zevrontech.co.uk and any services provided by Zevron Tech Ltd ("Zevron Tech", "we", "us", "our") to you ("the Client", "you").
By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
These Terms should be read alongside our Privacy Policy, which forms part of this agreement.
Zevron Tech Ltd provides the following services:
The specific scope, deliverables and timelines for any engagement will be agreed in writing between Zevron Tech and the Client before work commences, either through a formal proposal, statement of work, or written agreement ("the Agreement").
All quotations provided by Zevron Tech are valid for 30 days from the date of issue unless otherwise stated. Quotations are based on the information provided to us at the time and may be revised if the scope of work changes.
Our fees are set out in the relevant Agreement. All prices are quoted exclusive of VAT unless otherwise stated. VAT will be charged at the prevailing UK rate where applicable.
For project-based work, we typically require an initial deposit before commencing work. The payment schedule will be detailed in the Agreement.
Unless otherwise agreed in writing:
We reserve the right to charge interest on overdue invoices at a rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We also reserve the right to suspend services for non-payment after giving reasonable notice.
To enable us to deliver our services effectively, the Client agrees to:
Delays caused by the Client's failure to meet these responsibilities may affect project timelines and costs, and Zevron Tech will not be held liable for such delays.
All intellectual property in materials provided by the Client (including logos, content, data and images) remains owned by the Client. By providing such materials, the Client grants Zevron Tech a licence to use them solely for the purpose of delivering the agreed services.
Upon receipt of full and final payment, Zevron Tech assigns to the Client all intellectual property rights in the specific deliverables created for the Client under the Agreement, except as set out below.
Zevron Tech retains all rights in its pre-existing tools, frameworks, libraries, methodologies and know-how used in the delivery of services. Where such materials are incorporated into deliverables, we grant the Client a non-exclusive, perpetual licence to use them as part of the deliverable.
Both parties agree to keep confidential any information disclosed by the other party that is identified as confidential or that would reasonably be understood to be confidential, and not to disclose it to any third party without prior written consent.
This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.
This obligation of confidentiality survives termination of any agreement between the parties.
Both parties will comply with their respective obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Where Zevron Tech processes personal data on behalf of the Client as a data processor, a separate Data Processing Agreement will be put in place as required by UK GDPR Article 28.

Nothing in these Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited by law.
Subject to the above, our total liability to you in connection with any services, whether in contract, tort (including negligence) or otherwise, shall not exceed the total fees paid by you to us in the 12 months preceding the event giving rise to the claim.
We shall not be liable for any indirect, consequential, special or incidental loss, including but not limited to loss of profits, revenue, data, goodwill or business opportunity, even if we had been advised of the possibility of such loss.
Zevron Tech warrants that:
We do not warrant that deliverables will be free from all defects, or that our services will be uninterrupted. Any specific warranties will be detailed in the relevant Agreement.
Either party may terminate a project or service agreement:
On termination, the Client shall pay for all work completed up to the termination date. Zevron Tech will provide the Client with all deliverables completed and paid for at the point of termination.
You agree to use our website only for lawful purposes and in a way that does not infringe the rights of others. You must not use our website to transmit any harmful, offensive or unlawful content, or attempt to gain unauthorised access to any part of the website or its underlying systems.
Our website content is provided for information purposes only and does not constitute professional advice. While we take care to keep content accurate and up to date, we make no warranties as to its completeness or accuracy.
Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from any cause beyond their reasonable control, including but not limited to acts of God, war, industrial action, pandemic, or failure of third-party services.
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Scotland. Both parties agree to submit to the exclusive jurisdiction of the Scottish courts.
We may update these Terms from time to time. Changes will be posted on this page with a revised "last updated" date. Continued use of our website or services after any changes constitutes your acceptance of the updated Terms.
